Banking, Finance & Capital Markets
We advise banks, non-bank lenders and borrowers on Romanian financings and on the regulation of financial activity. Our focus is on security that can actually be enforced in Romania and on documentation that works when a loan is performing and when it is not.

What we advise on
Corporate and acquisition finance
Facility agreements, intercreditor arrangements and Romanian law security for acquisition and working capital loans.
Project finance
Financing of energy, infrastructure and real estate projects, including direct agreements and step-in rights.
Security packages
Real estate mortgages, movable mortgages over shares, receivables, bank accounts and equipment, with registrations in the land book and AEGRM.
Financial regulation
Licensing and permissions for credit institutions, IFNs and payment institutions; regulatory analysis of new products.
Restructuring and enforcement
Amendments, waivers, standstills and enforcement of security when a borrower defaults.
- Perfection steps. A Romanian mortgage is effective against third parties only once registered in the land book or in the Electronic Archive of Security Interests in Movable Property (AEGRM).
- Enforceable title. Loan and security agreements can qualify as enforceable titles, allowing enforcement without a prior court judgment, if they are drafted and executed correctly.
- Regulated lending. Lending to Romanian borrowers on a professional basis may require a BNR license or registration, depending on the lender and the activity.
Can a foreign bank lend to a Romanian company without a Romanian license?
Cross-border lending by an EU-authorized credit institution is generally possible under EU passporting rules. Non-EU lenders and non-bank lenders should check whether the activity requires authorization in Romania before lending.
How is security over Romanian shares taken?
Through a movable mortgage over the shares, registered in AEGRM and, for SRLs, recorded with the Trade Register. The constitutive act should not block enforcement or transfer of the shares.
