Gambling, Gaming & Betting

We advise gambling operators, B2B suppliers and investors on Romanian gambling law under GEO 77/2009 and its implementing rules, GD 111/2016. We combine ONJN licensing with the corporate, finance and contract work around it, so transactions and commercial deals do not put the license at risk.

Questions to settle early
  • Model first. The license needed depends on the exact activity: organizing gambling, supplying software or services, or both. Getting the model wrong costs months.
  • Corporate changes. Shareholder, beneficial owner and director changes in a licensed company must be reported to ONJN, and some need prior approval.
  • AML duties. Gambling operators are reporting entities under Law 129/2019 and must run a documented AML program.

Frequently asked questions
What is the difference between a Class 1 and a Class 2 license in Romania?

A Class 1 license is for organizers of gambling, online or land-based, who also need an operating authorization. A Class 2 license is for suppliers to licensed operators, such as game developers, platform and payment providers and affiliates.

Does selling shares in a Romanian gambling company require ONJN involvement?

Yes. Changes in the shareholding, beneficial ownership or management of a licensed company must be reported to ONJN, and the regulator assesses the new persons. The process should be built into the deal timetable.
