Acquiring Solar and Wind Projects: Due Diligence
By Szilaghi Law · Updated 28 October 2026 · General information, not legal advice
The risks in a Romanian solar or wind acquisition depend on the project stage. For early-stage projects, check land and grid. For ready-to-build projects, check that permits and grid connection fit the design. For operating assets, check licenses, contracts and performance.
Early stage
Land options, zoning status, grid capacity request and environmental screening.
Ready to build
Building permit, ATR and connection contract, environmental approval, land rights registered.
Construction
EPC status, permits for changes, connection works.
Operating
Generation license, PPA or support scheme, O&M, performance and disputes.
Corporate
Share title, financing, guarantees and change-of-control clauses.
Price protection
Milestone payments, conditions precedent and warranties tied to findings.
- Land rights and registrations
- Zoning and urbanism certificates
- Environmental decisions
- Building permit and validity
- ATR and connection contract
- Generation license
- PPA, CfD or support scheme documents
- EPC, O&M and supply contracts
- Financing and security
- Expired ATR. A project with an expired or non-compliant ATR may have no grid access.
- Design changes. A design different from the permit needs a new permit.
- Inheritance gaps. Land rights granted by heirs before succession was completed can be invalid.
When is a project considered ready to build?
Usually when land rights, building permit, ATR with a signed connection contract and environmental approvals are all in place and valid.
Should payment be split in milestones?
For development-stage projects it is common to pay part of the price at signing and the rest when milestones such as the building permit or ATR are reached.
